End-User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity, “you”) and Forgentia (“we”, “us”) for the WorkTracker plugin for JetBrains IDEs, including its executable code, resources, and accompanying documentation (the “Software”).

By installing, activating, or using the Software you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement and, for paid features, a valid subscription or license obtained through the JetBrains Marketplace, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your internal software-development purposes.

2. Subscription and Trial

The Software is distributed as a paid plugin on the JetBrains Marketplace with a free evaluation period followed by a paid subscription. Billing, trials, and license issuance are handled by JetBrains s.r.o. under the JetBrains Marketplace terms. Certain “value” actions (AI suggestion generation, Jira submission, and Jira ticket creation) require an active trial, subscription, or perpetual-fallback license; viewing and editing your existing local data remains available regardless of license state.

3. Restrictions

You may not, except to the extent permitted by applicable law:

  1. reverse engineer, decompile, or disassemble the Software;
  2. modify, adapt, or create derivative works of the Software;
  3. redistribute, sublicense, rent, lease, or sell the Software; or
  4. remove or alter any proprietary notices.

4. Your Data and Third-Party Services

The Software processes your local development activity and, only when you opt in, transmits limited data to third-party services (your Jira Cloud site and, if configured, an AI backend). See our Privacy Policy for details. Your use of those services is governed by their respective terms and privacy policies. You are responsible for ensuring you have the right to send any code, diffs, or work data to those services.

5. Disclaimer of Warranty

The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall Forgentia be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of data, profits, or business, arising out of or related to your use of the Software.

7. Termination

This Agreement is effective until terminated. It terminates automatically if you breach any term. On termination you must stop using and remove the Software. Sections 3–6 survive termination.

8. Governing Law

This Agreement is governed by the laws of England and Wales, without regard to conflict-of-laws principles.
